Why we don’t promise unconditional, region-wide exclusivity

On the surface, granting a channel partner an entire region sounds attractive. In reality, it creates two serious limitations:

  1. Coverage risk. One distributor cannot be everywhere at once. Cities, departments, and agencies across a large region often move at different speeds. If a region is tied up with one partner, opportunities in unworked pockets are simply lost.
  2. Performance risk. With new partners, there is no historical data. We cannot commit an entire region to a party whose capacity and track record are not yet proven.

So our default answer to “Do I get an exclusive territory?” is no. The only exception is when an existing distributor in good standing can assure a defined level of business and performance. Even then, we scope it carefully.

Instead of restricting you to a limited patch, our lead registration system gives you a borderless opportunity. No state or city is off-limits. Any lead anywhere in the country is open—provided you register it. The moment you book it, that opportunity becomes yours, protected by a clear, rules-based process.

What lead registration is (and what it isn’t)?

Lead registration is Spruce Up’s formal process that grants you exclusive rights to a specific lead for a defined period, as long as you keep moving it forward. It is our way of giving you the practical benefits of exclusivity where it matters: on the opportunity you created and are working on.

  • You get protection, not endless hold. A booked lead is yours for 90 days, extendable to a maximum of 120 days when genuine progress is visible.
  • You get clarity. The system maps the entire journey from Day 1 to Day 120, with clear roles, tasks, and SOPs. Pre-defined milestones at each stage keep you on track and give both sides confidence that the lead is moving forward.
  • You get OEM alignment. You get OEM alignment and protection. If another distributor (even a partner) approaches us about the same account, we make it clear that the lead is already booked under your name. From that moment, every other partner is blocked from pursuing that opportunity, ensuring your groundwork remains fully protected.

What it isn’t: a license to “park” a lead for months without visible movement. 

  • Protection depends on progress. If milestones are repeatedly missed and no genuine movement is shown, Spruce Up reserves the right to remove exclusivity from that lead and make it available to other distributors.
  • This is never done arbitrarily; support and opportunities to course-correct are provided first. However, the ultimate responsibility for moving the file rests with the distributor, and the final decision lies with the OEM.

The day-by-day journey: how a booked lead moves from 0 to tender

Every registered lead follows a standard path. We work on this with you and hold each other accountable.

Important: protection typically lasts up to the tender floating stage. At this point the decision becomes irreversible, and your groundwork has shaped the tender.

Timeline guardrails:

  • Protection window: 90 days, extendable to 120 days based on progress.
  • Expectation: show real movement within the first 90 days.
  • At or near Day 120, if the file has floated to tender, the lead has reached its natural protection limit.

First-come, first-served; plus vetting for seriousness

We maintain fairness with two simple rules:

  1. Vetting first. Before a partner can register leads, we assess capacity, past performance, and market reputation. We work only with parties who are genuinely focused and resourced.
  2. First-come, first-served. Once vetted, bookings are accepted in the order of receipt. If a lead is already booked, we tell new inquirers that it is protected and in progress with you.

When two distributors want the same opportunity

It happens. Here is how we keep it fair and productive:

  • Timed trial to finish. If you booked the lead first and have moved it well, you keep it through the protection window. If late in the cycle, another distributor appears to be in a better position to close, we give you a defined window to finish the work.
  • First right to negotiate. If transfer becomes the smarter path for winning the order, you get the first right to discuss it.
  • Overriding commission. When a transfer is agreed, Spruce Up recognizes your groundwork. In select cases, we pay an overriding commission on successful payment, negotiated on a case-by-case basis and recorded in writing.

What happens if a partner refuses the lead registration system

We do not proceed. Refusal to accept the system is a major red flag and a strong indicator of future conflict. We are transparent about this during vetting. Partners who insist on unconditional exclusivity are not a fit.

How do we protect your confidence during long cycles

  • We acknowledge that deals take time.
  • We grant a fair booking period and limited extensions when progress is visible.
  • We communicate booking status to any third party who enquires.
  • We stay involved with documentation, demo prep, and tender clarity so momentum does not stall.

What keeps your booked lead alive

  • Visible progress inside 90 days. Meetings held, documents submitted, demo scheduled or completed, and file moving.
  • Clean documentation. Discovery notes, objection logs, demo report, proposal trail.
  • Command and control. Both of us should know exactly where the file is, who holds it, and what the following action is.

Who we partner with, and who we do not

We look for:

  • Financial capacity to support demos, delivery, and service.
  • Relevant execution experience and references.
  • Clean market reputation.
  • Operational focus and a hands-on approach to government processes.

We avoid:

  • Applicants who reject the lead booking model.
  • Parties without capacity or track record.
  • Fellow manufacturers competing in similar technologies who may have conflicting motives.
